Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Helpful Engines mobile application and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service following any changes constitutes acceptance of those changes.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Use of Services

4.1 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

4.2 Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Violate or encourage others to violate the rights of third parties, including intellectual property rights
• Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate
• Interfere with security-related features of the Service, including by disabling or circumventing features that prevent or limit use or copying of any content
• Interfere with the operation of the Service or any user's enjoyment of the Service, including by uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code
• Attempt to gain unauthorized access to the Service, other user accounts, or other computer systems or networks connected to the Service
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission
• Impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity
• Collect or harvest any personal information from other users of the Service

5. Content

5.1 User Content

The Service may allow you to post, upload, or otherwise make available content, including text, photographs, videos, and other materials ("User Content"). You retain all ownership rights in your User Content. By making any User Content available through the Service, you grant to us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service.

5.2 Responsibility for User Content

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate these Terms.

5.3 Prohibited Content

You may not post User Content that is illegal, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity. You may not post User Content that infringes upon the intellectual property rights of others.

5.4 Content Removal

We reserve the right, but are not obligated, to monitor, review, and remove User Content at our sole discretion, including User Content that we believe violates these Terms or is otherwise objectionable.

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Helpful Engines Pty Ltd, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Helpful Engines name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Helpful Engines Pty Ltd. You must not use such marks without our prior written permission.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.

8. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Disclaimer of Warranties

The service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. Neither Helpful Engines Pty Ltd nor any person associated with Helpful Engines Pty Ltd makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the service. Without limiting the foregoing, neither Helpful Engines Pty Ltd nor anyone associated with Helpful Engines Pty Ltd represents or warrants that the service will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the service or the server that makes it available are free of viruses or other harmful components, or that the service will otherwise meet your needs or expectations.

10. Limitation of Liability

In no event shall Helpful Engines Pty Ltd, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the service, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the service during the twelve (12) months immediately preceding the date of your claim or one hundred Australian dollars (AUD $100), whichever is greater.

You agree to defend, indemnify, and hold harmless Helpful Engines Pty Ltd, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us through the Service or at the contact information provided below.

12.2 Termination by Us

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any controversy or claim arising out of or relating to these Terms, the parties will attempt to resolve the dispute informally. A party who intends to seek resolution shall first send a written notice to the other party describing the facts and circumstances of the dispute and allowing the receiving party 30 days to respond.

14.2 Binding Arbitration

If the parties are unable to resolve the dispute through informal negotiation, the dispute shall be finally resolved by binding arbitration under the rules of the Australian Centre for International Commercial Arbitration (ACICA). The arbitration shall be conducted in Sydney, Australia, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Helpful Engines Pty Ltd concerning the Service and supersede all prior or contemporaneous communications and proposals.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

17. Waiver

No waiver by Helpful Engines Pty Ltd of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Helpful Engines Pty Ltd to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
